These Terms of Service ("Terms") govern your access to and use of the websites, applications, and software-as-a-service products (collectively, the "Services") provided by DamianBCloud ("we", "us", or "our"), a company based in the Netherlands. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using any part of our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

DamianBCloud provides web-based software applications, automation tools, and AI-powered products designed for content creators and online businesses. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify users of significant changes.

3. Account Registration

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

• Use the Services in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to transmit malware, spam, or any harmful content
• Resell, sublicense, or redistribute the Services without our prior written consent
• Use automated tools (bots, scrapers) to access the Services in an unauthorized manner

5. User Content

You retain ownership of any content you create, upload, or submit through the Services ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, worldwide license to use, store, and process it solely for the purpose of providing and improving the Services. We will not sell your User Content to third parties.

6. Intellectual Property

All intellectual property rights in the Services — including but not limited to software, designs, trademarks, logos, and documentation — are owned by DamianBCloud or its licensors. These Terms do not grant you any right to use our trademarks, logos, or branding without our prior written consent. All rights not expressly granted in these Terms are reserved.

7. Payment Terms

Certain features of our Services may require a paid subscription. By subscribing to a paid plan, you agree to the following:

• You authorize us (via our payment processor, Stripe) to charge the payment method you provide on a recurring basis according to your chosen billing cycle
• All fees are stated in the currency indicated at the time of purchase and are exclusive of applicable taxes unless stated otherwise
• You are responsible for keeping your payment information up to date
• We may change pricing with at least 30 days' notice before the change takes effect on your next billing cycle
• Refunds are handled on a case-by-case basis at our discretion, unless otherwise required by applicable law

8. Free Trials and Promotions

We may offer free trials or promotional pricing from time to time. At the end of a free trial period, your account will automatically convert to a paid subscription unless you cancel before the trial ends. We will notify you before your trial expires.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• DamianBCloud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.
• Our total cumulative liability for any claims arising from or related to the Services shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless DamianBCloud and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

You may terminate your account at any time by contacting us or using the account settings in the Services. We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, if we reasonably believe you have violated these Terms.

Upon termination:

• Your right to access the Services will immediately cease
• We may delete your account data in accordance with our Privacy Policy
• Any provisions of these Terms that by their nature should survive termination will remain in effect (including intellectual property, limitation of liability, indemnification, and governing law)

12. Modifications to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you by email or through the Services. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms or the Services shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.

If you are a consumer residing in the European Union, you may also be entitled to invoke the mandatory consumer protection laws of your country of residence, and you may bring proceedings before the courts of your country of residence.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and DamianBCloud regarding the use of the Services and supersede all prior agreements, representations, and understandings.
